Below you will find the terms and conditions (hereinafter, the "Terms” or “Terms and Conditions"), which constitute the contractual agreement between Pana Finance, Inc. ("Pana") and the User for the use of the Platform, whenever applicable, and, in general, the Pana Global Services offered by Pana (“Services”). These Terms apply solely to your use of the Pana Global Services and do not govern any other products or services offered by Pana, such as deposit accounts in fiat (USD) currency, backed by Pana’s sponsor bank, which are accessible through the Pana mobile application and only available for U.S. residents.

Please review the following Terms and Conditions ("Pana Global"). By accepting them, or by accessing or using the product, you are expressly acknowledging that you have read, understood, and fully agreed to the content of these Terms and Conditions.

These Terms and Conditions ("Pana Global") apply to the use of the Pana Global product available on the domain https://www.joinpana.com, which is included within the Platform.

Pana is a Delaware corporation incorporated under the laws of the United States ("US"), with its principal place of business at 8025 John Hancock Dr., Winter Garden, FL, 34787, and electronic contact at [email protected], or via the chat feature on the Platform, with service hours from 9:00 a.m. to 5:00 p.m. (Eastern Time), Monday through Friday.

1. Definitions

The terms starting with capital letters have the following meanings:

• "Privacy Notice": The privacy policy available on the Platform.
• "Content": Defined in Section 6 of these Terms and Conditions.
• "Pana Global Account": The account or wallet opened by Pana in favor of the User under these Terms and Conditions, which holds and transacts in USDC.
• "Settlement Account": An account in the name of Pana, denominated either in U.S. dollars, opened with Partner Third Parties, through which Users will settle the purchase of Digital Dollars via the Platform.
• "User Account": The account the User holds with a national or foreign financial institution, used to transfer funds for settling purchases or sales of Digital Dollars instructed through Pana.
• "Virtual Assets": Cryptocurrencies or digital assets known as stablecoins, as defined in Section 3 of these Terms and Conditions.
• "Platform": The website https://www.joinpana.com, its subdomains, the mobile app, and any present or future websites and platforms owned by Pana, but only to the extent that they are related to the Pana Global Services
• "Reward" ("cashback" or "bonus"): A discount or price reduction granted by Pana as a result of a commercial agreement, accumulated by the User (such as volume-based discounts), in accordance with these Terms and Conditions.
• "Partner Third Parties": Any third parties involved in Digital Dollar transactions between Users and others, using Pana technologies.
• "Terms and Conditions": These Terms and Conditions available on the Platform.
• "User": Any individual or legal entity who registers through the Platform.
• "Fees": Charges and costs that Pana will bill the User as stated on the Platform.
